Terms of Service (ToS)

These Terms of Service, together with any additional terms and policies, apply to all services and products offered by Martin Greksa (“Cloudero”, “us”) and form the legal agreement between you (“you”, “Client”). These Terms of Service are collectively referred to as this agreement (“agreement”, “ToS”). All services provided by Cloudero are available exclusively for lawful activities. Before purchasing a service from Cloudero, you must confirm that you have read, understood, and agreed to these Terms of Service. Cloudero complies with the local laws of the countries in which we operate. By using our services, you acknowledge and accept these Terms of Service along with all related terms and policies.

The following list includes our additional terms and policies, which are considered part of these Terms of Service:

Account Setup / Registration

It is the Client’s responsibility to ensure that the provided email address is valid and kept up to date at all times. If an abuse issue arises or we need to contact the Client, we will use this email address. Failure to maintain a valid contact address constitutes a breach of these Terms of Service and may result in the immediate termination of your account.

Jurisdiction and Legal Responsibilities

The parties acknowledge that when Cloudero acts solely as the Client’s host, it is not engaged in nor soliciting interstate or international commerce on behalf of the Client. If Cloudero becomes involved in any dispute or litigation resulting from the Client’s actions that affect out-of-state persons or entities, the Client agrees to indemnify and hold Cloudero harmless, cover all legal costs, and contest the jurisdiction of any out-of-state authority over Cloudero. Any legal matters must be resolved under the laws of Nevis. Cloudero is not responsible for any content or material created, hosted, or made accessible through its networks and services unless directly posted by Cloudero.

Availability and Backups

Cloudero stores Clients’ websites, files, emails, and databases on its servers. The parties acknowledge that internet servers and connections are prone to downtime, vulnerabilities, and crashes, and that Cloudero may occasionally perform maintenance. Clients using unmanaged services are responsible for maintaining their own backups at their own expense. Cloudero is not liable for data loss resulting from crashes, downtime, or vulnerabilities. Furthermore, Cloudero will not provide backups for services found to contain prohibited content under our Acceptable Use Policy. Due to the nature of computer hardware, Cloudero cannot be held responsible for any resulting data loss.

Maintenance

Cloudero may temporarily suspend services for repairs, maintenance, or system improvements, or for any other reason deemed necessary to maintain service quality. Scheduled maintenance will be announced at least 24 hours in advance. Emergency maintenance may occur at any time, with or without notice. Invalid rDNS records may be removed at our discretion. Clients must ensure that their services are not listed, blocked, or blacklisted due to misuse. Cloudero cannot provide replacement IP addresses for issues resulting from a customer’s negligence.

Security

Both parties acknowledge that perfect security cannot be guaranteed. Clients are solely responsible for securing their hosting services, including changing default passwords and applying necessary security updates and patches over time. The Client assumes responsibility for any damage resulting from unauthorized access and agrees to indemnify and hold Cloudero harmless for any security compromise, whether caused by the Client, Cloudero, or a third party. The Client must keep passwords confidential and not disclose them to third parties. The Client must immediately notify Cloudero of any suspected security breach or unauthorized account use.

Refunds

All sales are final. No refunds will be issued.

Copyright & Abuse

Abuse notifications must be submitted in proper form. You can report abuse via our Ticket System or by emailing abuse@Cloudero.net. The report should include a description of the issue, evidence of abuse, and the sender’s contact information.

When we receive a valid abuse report, we will forward it to the Client via email and suspend the related service. The Client must respond within 48 (forty-eight) hours of receiving the notice. Failure to respond within this period will result in service termination without refund.

Cloudero is not liable for copyright violations related to content hosted by the Client. We maintain zero tolerance for illegal activities or spam. Hosting child pornography, terrorist propaganda, or any similar content is strictly prohibited and will result in immediate account termination.

Payment Information

Cloudero accepts cryptocurrencies such as Bitcoin, Lightning, Litecoin, and Monero through our self-hosted payment gateways, without third-party involvement. All services are prepaid. Renewal invoices are sent 14 days before the due date. If payment is not received by the due date, the service and associated data will be deleted. Cloudero will not activate new services or packages for Clients with outstanding balances. A zero balance (0.00 EUR) is required before new orders can be processed unless otherwise agreed in writing.

Resource Utilization

If Cloudero determines that your account is using an excessive amount of system resources, we may temporarily deactivate it. In severe cases, we may issue an eviction notice, giving the Client five (5) days to migrate to another provider. Clients are not permitted to run background programs on shared hosting servers, as this may impact other users’ performance.

Using our mail service for mass mailings (including non-spam bulk mail) is strictly prohibited. Sending spam to advertise a site hosted on Cloudero is also a violation of this provision.

Domain Name Services

Domains registered through Cloudero are registered under Cloudero’s name on behalf of the Client. Cloudero does not claim ownership of these domains. The Client retains full rights to transfer, sell, renew, or manage each domain and is responsible for resolving any legal or financial claims arising from domain use. We do not guarantee the availability of a domain name, even if our system indicates it as available. Domain registration, renewal, and transfer fees may change at any time. Our system cannot detect premium domains, and such domains may appear as available. If a purchase is cancelled due to this issue, the paid amount will be credited to your account. Clients may use account credits to purchase a different domain or, upon request, the premium domain at its actual price. We do not process or host domains used for phishing, copyright infringement, or violations of our Terms of Service or Acceptable Use Policy. Such orders will be cancelled and refunded as account credits. Domains found to be used for phishing will be suspended.

Order Processing

Shared Hosting and VPS servers are provisioned automatically upon successful payment. Dedicated server setups may take up to 48 hours.

Domain name orders are manually screened and processed within 24 hours to prevent fraud. Unpaid orders older than 24 hours may be deleted from our system.

Support

All Cloudero services are unmanaged unless otherwise specified in the product description. Support tickets are typically answered within 24 hours. Sales-related inquiries have lower priority and may take longer. We prioritize support for existing customers and active services over new sales inquiries.

Final Note

Failure by either Cloudero or the Client to enforce any provision of this Agreement shall not be considered a waiver of any rights or provisions herein. If any part of this Agreement is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full effect. This Agreement may be executed in multiple counterparts, each considered an original, but together forming one unified document. Cloudero reserves the right to modify and update this Agreement as necessary. If you do not agree with the updated Terms of Service, you must discontinue your services with us. Continued use of our website or services signifies your acceptance of the updated Terms of Service.
